ARTICLE I - Name

The name will be Brotogeris Society International (BSI), hereinafter referred to as the Society.


ARTICLE II - Mission Statement

Dedicated to the conservation and promotion of the Brotogeris species.


ARTICLE III - Purpose

The Society is a non-profit organization, and none of the members will derive any profit from the Society.  The purpose for forming the Society follows:

A.     To encourage the breeding of all species of Brotogeris Parakeets currently held in captivity.

B.     To encourage cooperation among breeders, including the sharing of good husbandry practices, to encourage successful breeding.

C.      To encourage the keeping of Brotogeris Parakeets as pets.

D.     To promote avian education to breeders, owners and the public.

E.      To assist anyone who requests help in solving a Brotogeris related problem, to the best of the ability of the Society’s members.


ARTICLE IV - Membership

A person shall be eligible for membership upon the following conditions:

A.     Has never been convicted of animal abuse or the illegal trafficking of animals.

B.     Submits a Membership Application that is acceptable to the Society.

C.      Payment of annual dues, in U.S. currency, is as follows:  Standard - $20 (international standard - $25), Business - $40 (international business - $45).  Dues shall be on a yearly basis from the month of original membership for twelve (12) consecutive months.  Members whose dues have not been paid within 60 days thereafter shall be dropped from membership in the Society.

D.     Upon payment of dues, new members shall receive Membership notification, a Membership Directory and a copy of the Bylaws from the Membership Officer.


ARTICLE V - Governing Board

A.     The Society will be a Governing Board managed organization.

B.     The Governing Board shall include (#1) President, (#2) Vice President, (#3) Secretary, (#4) Treasurer, (#5) Membership Officer, (#6) Ad/Promo Officer, (#7) Director - 1, (#8) Director - 2, and (#9) Director - 3.  A member must be 18 years of age to serve on the Board.  These nine members will make up the Governing Board of the Society, and each Governing Board member will have full voting rights, with each Governing Board member being able to cast one vote, with the exception of the President, who will only vote to break a tie.  In order for the Governing Board to vote on any decision, a Quorum of five (5) voting members must be present to vote, which will include the President.  The Governing Board will hold its meetings in an “on-line” chat room.  The President reserves the right to call for a vote within the chat meeting, or to allow an earlier vote, or a later vote by e-mail through the Brotogeris Board List, in order to secure a vote by all Governing Board members.

C.      Critical needs, such as Newsletter Editor, Web-site Master, and others, may be handled by any of the Governing Board, or may be appointed by the Governing Board based on expertise.  Appointees will not have voting rights, but will be allowed a full platform for suggestions.

D.     The Charter Governing Board Members of the Society will hold office as follows:  Charter President, Charter Secretary, Charter Membership Officer, Charter Director - 1 and Charter Director - 3 will hold office until February 13, 2006.  Charter Vice President, Charter Treasurer, Charter Ad/Promo Officer and Charter Director - 2 will hold office until February 13, 2005.  Any Charter Governing Board Member unable to complete his/her preliminary term for any reason may resign, and the remaining Governing Board members will appoint a person from the general membership to replace the resigning Governing Board member for the remainder of his/her term.

E.      After the terms end for the charter Governing Board, subsequent terms of office will be held for two years, or until a successor can be elected.

F.      There will be no limit to the number of times a member can run for office, whether it is the same position they have held or a different one.

G.      Members of the Governing Board will be elected by the membership.  A call to run will be published in the newsletter, with ballots being mailed to every member in December, which must be returned to the Secretary no later than January 15th of the following year.  The new Governing Board members will commence their terms on February 14th.  The Secretary will count the ballots, report to the Governing Board and the Governing Board will accept the Secretary's count.  All ballots will be kept by the Secretary and be included in the Secretary’s records of meetings and minutes.  Any person running for office may submit his/her qualifications to the Secretary for publication in the newsletter.

H.      Duties of Elected Governing Board:

President - Shall preside at all meetings; develop the meeting agenda; be responsible for the administration of the Society; sign all contracts approved by the Governing Board; have authority to appoint personnel as necessary to complete Society business; vote to break a tie; maintain order for the Governing Board, guests and members; do the will of the Society and strive to create good will among all Governing Board members and all members.

Vice President - Shall perform all the duties of the President, whenever the President is not available; become the acting-President upon early termination of a President’s term; carry out and perform mutual duties with the President and seek guests to write articles for the Newsletter.

Secretary - Shall keep minutes of all meetings and send copies to each Governing Board member; chair meetings in the absence of both the President and Vice President; keep a copy of the Bylaws at all meetings for reference; be fully responsible for all the Society’s records; bring a copy of Robert’s Rules of Order (newest revised edition) to all meetings; keep all Governing Board Members on track with the Rules during all meetings and submit a condensed Secretary’s Report for all Newsletter publications.

Treasurer - shall maintain a checking account for the Society and deposit all monies received into the account in a timely manner; keep an accurate accounting of all Society monies; submit a financial report at every meeting; send a printed financial report to the President every two months or upon request by the President; submit a Treasurer’s report for all Newsletter publications.

Membership Director - shall maintain a Post Office Box to receive membership applications and mail for the society; send membership records and dues monies to the Treasurer in a timely manner; forward all mail to the appropriate Governing Board Member, Appointee, or member; keep an accurate membership list and have list available at all meetings for reference; inform members of upcoming renewals 60 days prior to expiration of membership; develop and maintain an organized Membership Directory; send a “Received Membership” notification, Membership Directory and copy of the Bylaws to all new members.


Ad/Promo Director - shall make continuous contact with Avian periodicals, Bird Clubs, Bird Organizations, Brotogeris breeders, and more, regarding the existence of the Society; continuously seek articles, photos or ideas from any Governing Board member or any Society member; be on constant look-out for any reference to Brotogeris Parakeets in any media; inform the Governing Board of any and all submissions to any media; work closely with the Governing Board regarding any and all advertising and promotions; promptly send all ads and promotions to any and all media required by the Governing Board.
    

Director-1, Director-2, and Director-3
- Shall represent and vote responsibly for the members; assist the Governing Board as needed; provide assistance and guidance to the newsletter Editor; provide assistance and guidance to the Web-site Master; be creative and helpful to the society; be experienced in some aspect of bird breeding, avian organization, newsletter editing, web-site design, avian writing or avian mentoring.



ARTICLE VI - Committees

Committees, if needed, shall be appointed by the Governing Board.


ARTICLE VII - Parliamentary Authority

Robert’s Rules of Order, Newly Revised, shall govern all meetings held by the Governing Board.


ARTICLE VIII - Amendment of Bylaws

These Bylaws may be amended at any time by a majority vote of the Governing Board.


ARTICLE IX - Dissolution

In the event it might become necessary, dissolution of the Society can be achieved by a ¾ vote of the 8 member Governing Board.  All properties owned by the Society shall be auctioned off to the members with the exception of personal information which will be held for 5 years after dissolution, and then destroyed.  After all debts have been fully paid, any remaining monies in the treasury of the Society will be donated to a worthy Avian Research project as agreed upon by the Governing Board.
